Incorporated Joint Venture

Type de joint venture dans laquelle les membres décident de créer une entité juridique distincte en vue de réaliser un projet. Non incorporated Joint Venture

A legal entity without legal personality created by several companies that decide to carry out a project together as part of an integrated organisation. This is the case of the "société en participation" in France, temporary joint ventures in some African countries and unincorporated JVs in Turkey, Vietnam, Australia and the UK.


Consortium

When a contract is awarded to several co-contracting companies, we speak of a consortium or temporary grouping of companies. A consortium is generally chosen when the scope of the work can be divided into lots, each lot being awarded to one of the contractors. The consortium must be governed by an agreement signed by the members before the tender is submitted.

Lump Sum

A lump-sum contract is generally accompanied by a SoR - Schedule of Rates. 

A schedule used for tendering where exact quantities are unknown or in a lump sum contract for the pricing of variations (where it is sometimes known as a Bill of Quantities). The tenderer gives a unit price for each item of work to be done, as described in the schedule. The unit price is then later multiplied by the actual quantity of such item determined by the remeasurement.



SoR - A schedule listing the works with the rates to provide a list of rates for the valuation of variations purpose.

SoR – The Quantities do not form part of the Contract.

SoR - Usually based on drawing not fully detailed and require shorter preparation time (require more design by contractor)
